Definitions
The following capitalized terms have the meanings set forth below throughout these Terms:

PlatformValidator Ent. and all associated services, APIs, web applications, and infrastructure operated by Validator Ent.

CreditsThe unit of value generated exclusively by completed, validated Paid Ad impressions. Credits accrue in an Artist's balance and may convert to a withdrawable amount subject to the applicable threshold, escrow, and payout policies in these Terms. Credits are distinct from Platform Metrics in every respect.

Credit PipelineThe internal system that calculates, records, and distributes Credits from Paid Ad impressions to Artist balances, Platform reserves, Validator rewards, and Union contributions. The Credit Pipeline is categorically inaccessible to House Ad impressions.
Platform Mechanic — Validation Gates
Validator Ent. operates a human-attention verification system called Proof-of-Tune. Every stream of an Artist's content triggers a Validation Gate — a brief, non-skippable interaction event that requires a real human response before the stream is counted as verified.
Validated streams establish an Artist's platform standing, including their position on the Heat Map rotation. The volume and quality of validated streams determines how frequently an Artist's content is surfaced to Listeners.
Each Validation Gate serves exactly one ad slot. That slot is filled by either a Paid Ad (when a matching advertiser campaign is available) or a House Ad (when no paid campaign fills). The distinction between these two fill types has material consequences for Credits, as defined in Section 4.
Ad Categories: House Ads & Paid Ads
Two and only two categories of ads may appear at a Validation Gate. They are structurally and financially distinct:
House Ads
House Ads are Platform-operated ads served when no paying advertiser campaign matches the gate context (tier, trust score, frequency caps, etc.). House Ads:
- Are funded and operated entirely by Validator Ent.
- Carry a CPM of zero — there is no advertiser spend behind them.
- Pass through the Validation Gate and generate Platform Metrics (validated stream count, HitL signal, heat score contribution, rotation rank update).
- Do not generate Credits. The Credit Pipeline is hard-blocked for any impression tagged as a House Ad.
- Do not create any obligation, debt, or expectation of compensation to any Artist, Listener, Validator, or other party.
Paid Ads
Paid Ads are backed by an active advertiser campaign with a non-zero CPM budget. Paid Ads:
- Are funded by an advertiser who has entered a separate Advertiser Agreement with Validator Ent.
- Carry a campaign CPM agreed upon in that agreement.
- When a Listener passes the Validation Gate for a Paid Ad, the impression triggers a Credit event in the Credit Pipeline.
- Generated Credits are distributed per the credit split schedule in Section 5.
Platform Metrics vs. Credits — The Two Buckets
Validator Ent. operates two strictly separate accounting buckets. These buckets do not overlap, share balances, or convert into one another. Understanding the distinction is a condition of Artist membership on the Platform.
Bucket 1 — Platform Metrics: Generated by all Validation Gate impressions, including House Ads. Platform Metrics are non-monetary signals that determine your standing, visibility, and reach on the Platform. They are not Credits, do not appear in your financial balance, and carry no compensation obligation.
Bucket 2 — Credits: Generated exclusively by validated, completed Paid Ad impressions. Credits appear in your Artist balance and may convert to withdrawable amounts subject to the threshold and escrow policies in Section 10. Credits are the only pathway to payout.

Artists acknowledge and agree that the accumulation of Platform Metrics from House Ad impressions — including high stream counts, improved heat scores, and favorable rotation ranks — does not entitle them to any compensation, credit balance adjustment, or payout from Validator Ent. Platform Metrics exist solely to reflect and reward authentic audience engagement within the Platform's ranking system.
Credit Pipeline — Paid Advertiser Impressions Only
When a Listener completes a Validation Gate backed by a Paid Ad — meaning the Listener correctly passes the gate interaction for a campaign with a non-zero CPM — the following Credit distribution is triggered:
- Artist Share: A percentage of the gross impression value (as configured in the active credit schedule) accrues to the Artist whose track was playing.
- Validator Reward: A percentage accrues to the Validator pool for that session.
- Platform Reserve: A percentage is retained by Validator Ent. for operations, infrastructure, and platform development.
- Union Contribution: A percentage is directed to the Validator Ent. Union fund.
- Founder Reserve: A founder reserve percentage is deducted from the gross before the above splits are applied, per the applicable credit configuration.
The exact split percentages are published in the Artist Dashboard under My Credits → Credit Distribution. Validator Ent. reserves the right to adjust split percentages with 30 days' notice to active Artists.
Under no circumstances does this pipeline activate for House Ad impressions.
The Credit Pipeline is access-controlled at the application layer; a House Ad tag
(campaign_id = null)
hard-blocks entry into this pipeline.
No Compensation Obligation from House Ad Impressions
Artists expressly acknowledge and agree that:
- Validator Ent. operates House Ads as a Platform function to maintain Validation Gate activity when paid advertiser demand does not fill the available slot.
- House Ad impressions serve the Platform's operational and marketing objectives only. They are not a substitute for, a proxy of, or an advance against future paid advertiser inventory.
- The completion of a Validation Gate on a House Ad impression — regardless of the number of such events, the quality of the Listener interaction, or the Listener's trust score — does not create any debt, obligation, liability, or expectation of payment by Validator Ent. to any Artist.
- No Artist is owed compensation from House Ad impressions under any theory of law, equity, implied contract, or course of dealing.
- Platform Metrics accumulated from House Ad impressions (stream counts, heat score, rotation rank improvements) are Platform standing indicators only. They have no monetary equivalent and shall not be used as a basis for any claim against Validator Ent.
Artist Obligations & Licenses
By submitting content to Validator Ent., Artists grant the Platform a non-exclusive, royalty-free, worldwide license to:
- Stream, transcode, and distribute submitted content to Listeners via the Platform.
- Use content for Validation Gate sessions, including sessions backed by House Ads.
- Use artist name and track metadata for promotional display within the Platform.
Artists represent and warrant that they hold all necessary rights to submitted content and that submission does not violate any third-party rights, contracts, or applicable laws.
Anti-Gaming & Integrity Policy
The integrity of the Proof-of-Tune verification system is the foundation of Validator Ent.'s value proposition to advertisers. The following activities are prohibited and may result in immediate account suspension, forfeiture of accrued Credits, and legal action:
- Automated stream generation (bots, scripts, emulators).
- Coordinated click farms or paid listener networks.
- Manipulating Validation Gate responses to inflate pass rates artificially.
- Any attempt to spoof, replay, or falsify HitL interaction signals.
- Collusion with Listeners, Validators, or any third party to artificially inflate Platform Metrics or Credits.
Validator Ent. employs real-time fraud detection. Suspicious patterns trigger an automatic audit. Credits generated from flagged impressions are withheld pending review.
Privacy & Interaction Signal Disclosure
By using the Platform, all users (Artists, Listeners, Validators) consent to the collection of interaction signals generated during Validation Gate sessions. These signals include: dwell time, response accuracy, session cadence, and device/session identifiers. This data is used exclusively to operate the HitL verification system, improve Platform integrity, and provide aggregate analytics to Advertisers (never individual user data).

Credit Escrow & Threshold Policy
Credits accrued from Paid Ad impressions are held in escrow until the Artist reaches the Platform's minimum verification threshold (currently: 1,000 validated streams across one or more tracks). At threshold, escrowed Credits are released to the Artist's available balance for withdrawal.
The escrow system exists to ensure that Credits released to Artists reflect a sufficient validated audience, providing advertisers with confidence in the underlying inventory.
House Ad impressions do not count toward the escrow balance. They do, however, count toward your validated stream total for the purposes of threshold calculation. Reaching the stream threshold via House Ad-backed validations releases any accrued Credits from Paid Ads but does not itself create Credits.
Modifications & Termination
Validator Ent. may update these Terms at any time. Material changes — including changes to the Credit distribution schedule — will be communicated to registered Artists with at least 30 days' notice via the Platform's notification system and the registered email address.
Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.
Validator Ent. reserves the right to suspend or terminate any account that violates these Terms, with forfeiture of any Credits that were generated as a result of the violating activity.
Governing Law
These Terms are governed by the laws of the applicable jurisdiction without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration under applicable commercial arbitration rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Content License & Artist Royalties
13.1 — Grant of License
By submitting audio, video, or other creative content ("Content") to Validator Ent., each Artist grants the Platform a non-exclusive, worldwide, royalty-free, sub-licensable license to host, stream, transcode, distribute, reproduce, and publicly perform the Content solely in connection with the Platform's services and the Proof-of-Tune validation system.
13.2 — Scope of License Use
The license granted in Section 13.1 authorizes the Platform to:
- Stream Content to Listeners through the Listener Player.
- Transcode Content into formats necessary for delivery across network conditions and devices.
- Use Content as the underlying media for Validation Gate sessions, including sessions backed by both House Ads and Paid Ads.
- Display Artist name, track title, cover art, and descriptive metadata within the Platform interface, promotional materials, and third-party integrations.
- Cache Content on CDN infrastructure (including Cloudflare R2) for delivery performance.
13.3 — Royalty Basis
Artist royalties on the Platform are generated exclusively from validated, completed Paid Ad impressions as described in Sections 4 and 5. No royalty, payment, or compensation obligation arises from the Platform's use of Content in connection with House Ad impressions, regardless of how frequently the Content is streamed or how many Validation Gates are completed against it without a Paid Ad fill.
13.4 — Royalty Rate
The applicable Artist Share percentage is published in the Artist Dashboard under My Credits → Credit Distribution. This rate represents the Artist's portion of the gross Paid Ad impression value after the Founder Reserve deduction, as defined in Section 5. Validator Ent. may adjust royalty rates with 30 days' advance written notice to affected Artists.
13.5 — License Duration
The license granted herein remains in effect for the duration of the Artist's account. Upon account termination or Content removal, the license terminates prospectively; however, Content that was streamed and validated prior to removal remains subject to this license for the purpose of completing any pending Credit calculations or audit obligations.
13.6 — Artist Representations and Warranties
Each Artist represents and warrants that:
- They are the copyright owner of submitted Content or hold all licenses, rights, consents, and permissions necessary to grant the license herein.
- The Content does not infringe upon any third party's intellectual property rights, privacy rights, or any other proprietary rights.
- The Content complies with all applicable laws, including but not limited to laws governing defamation, obscenity, and consumer protection.
- If the Content contains the likeness or voice of any third party, the Artist has obtained all necessary clearances and releases.
Validator Service Compensation
14.1 — Nature of Validator Rewards
Validators who successfully pass Validation Gate challenges contribute to the Platform's human-attention verification layer. In recognition of this service, Validators receive a Validator Reward — a share of the Credit Pipeline generated by each validated, completed Paid Ad impression in sessions where the Validator participated. Validator Rewards are Credits as defined in Section 1 and are subject to all Credit policies in these Terms.
14.2 — Compensation Rate
The Validator Reward percentage is defined in the active credit schedule, published in the Validator Dashboard under My Rewards → Distribution Schedule. The rate reflects the Validator's allocated share of the gross Paid Ad impression value after the Founder Reserve deduction. Validator Ent. may adjust Validator Reward rates with 30 days' advance notice.
14.3 — Threshold & Escrow
Validator Rewards follow the same escrow and threshold policy as Artist royalties (Section 10 and Section 16). Rewards accrued from Paid Ad impressions are held in escrow and released when the applicable threshold is met. Validators are subject to the same unclaimed funds policy outlined in Section 16.
14.4 — House Ad Sessions
Validation Gate sessions backed by House Ads generate no Validator Rewards. The Credit Pipeline hard-block described in Section 3 applies equally to Validator Rewards. Passing a Validation Gate on a House Ad impression contributes to the Validator's Platform standing (trust score, HitL history) but creates no compensation obligation.
Platform Credits
15.1 — Credits as Units of Value
Platform Credits are the sole unit of monetary value on Validator Ent. They represent a participant's accumulated share of revenue generated by validated Paid Ad impressions. Credits are not currency, securities, digital assets, or financial instruments. They are internal accounting units that may be redeemed for withdrawable amounts subject to the policies in these Terms.
15.2 — Credit Calculation
Credits are calculated at the time of each validated Paid Ad impression. The gross impression value (based on the Advertiser's campaign CPM) is processed through the Credit Pipeline (Section 5): the Founder Reserve is deducted first, and the remaining amount is distributed among the Artist Share, Validator Reward, Platform Reserve, and Union Contribution at the rates in the active credit schedule.
15.3 — Credit Balance Display
Each participant's Credit balance is displayed in real-time in their respective dashboard (Artist Dashboard → My Credits / Validator Dashboard → My Rewards). Balances reflect Credits from Paid Ad impressions only. Platform Metrics (stream counts, heat scores, rotation rank) are displayed separately and carry no monetary value.
15.4 — Credit Conversion to Withdrawable Amounts
Credits convert to a withdrawable USD (or applicable fiat currency) amount at the conversion rate published in the Artist Dashboard at the time of withdrawal request. Conversion rates may be adjusted by Validator Ent. with 30 days' notice. Withdrawals are processed via Stripe Connect to the participant's registered payout account.
15.5 — Credit Non-Expiration
Credits do not expire while a participant's account remains in good standing and active. "Active" means the account has not been terminated, suspended, or dormant for more than 24 consecutive months. The dormancy policy is further described in Section 16.3.
15.6 — Credit Forfeiture for Policy Violations
Credits generated in whole or in part through activity that violates these Terms — including gaming, bot-assisted streams, coordinated inflation, or any conduct prohibited in Section 8 — are subject to immediate forfeiture without compensation. Forfeited Credits are returned to the Platform Reserve. Validator Ent.'s determination of violating activity is final, subject to the appeal process described in Section 12.
Escrow & Unclaimed Funds
16.1 — Escrow Trigger
All Credits accruing to an Artist or Validator balance are held in escrow from the moment they are generated until the participant meets the applicable release threshold. The current threshold is 1,000 validated streams across one or more tracks associated with the participant's account. Validator Ent. reserves the right to adjust this threshold with 30 days' advance notice.
16.2 — Escrow Release
Upon reaching the validated stream threshold, escrowed Credits are automatically released to the participant's available balance and become eligible for withdrawal. Release is processed within 72 hours of threshold achievement. The participant will receive a Platform notification and email when Credits are released.
16.3 — Dormant Account Notice
If a participant's account has an available Credit balance and the account has shown no activity (no logins, no stream validations, no payout requests) for 24 consecutive months following Credit release, Validator Ent. will send a written notice to the registered email address advising of the dormancy and requesting that the participant take action to claim their balance within 90 days.
16.4 — Unclaimed Funds & Escheatment
If the participant fails to respond to the dormancy notice within 90 days, and the account remains inactive, the unclaimed Credit balance becomes "Unclaimed Funds." After a total of 36 months of inactivity following Credit release, Validator Ent. will handle Unclaimed Funds in accordance with applicable state unclaimed property laws, which may include escheatment to the relevant government authority. Validator Ent. will make commercially reasonable efforts to contact participants before any escheatment action.
FTC Endorsement & Validator Disclosure
Validator Ent. operates in compliance with the Federal Trade Commission's Guides Concerning Endorsements and Testimonials (16 CFR Part 255). The provisions below govern all participants who create, share, or promote content related to their participation on the Platform.
17.1 — Material Connection Disclosure
Any participant who creates, publishes, or distributes content (including social media posts, blog articles, video content, or public commentary) that discusses or promotes Validator Ent. and their participation on the Platform must clearly and conspicuously disclose their material connection to the Platform. This disclosure must appear in any such content before or near the endorsement, in a manner that is clearly noticeable to a reasonable consumer. Acceptable disclosure language includes: "I am a participant on Validator Ent. and may receive Credits from validated ad impressions."
17.2 — Compensation Disclosure
Validators and Artists who discuss their Platform Credits, earnings, or any compensation received through Validator Ent. must include a clear statement that such amounts are derived from validated Paid Ad impressions, are not guaranteed, and are subject to the threshold and escrow policies in these Terms. No participant may imply that Validator Ent. provides a guaranteed income or fixed compensation for participation.
17.3 — Prohibition on Misleading Endorsements
Participants may not make false or misleading statements about the Platform, including misrepresenting the Credit amounts typically received, the likelihood of reaching withdrawal thresholds, or the nature of the Validation Gate system. Any testimonial about Platform results must reflect the participant's genuine, typical experience and must comply with FTC guidance on substantiation of claims.
17.4 — Platform Ad Labeling
All advertisements served through Validation Gates on the Platform — including Paid Ads and House Ads — are labeled with a visible "ADVERTISEMENT" badge (gold border) as displayed within the Validation Gate interface. Sponsored Validation Gates are additionally marked with the sponsor's identity per the FTC's disclosure requirements for native advertising. These disclosures are applied automatically by the Platform and do not require any additional action by Artists or Validators.
Independent Participant Classification
18.1 — Independent Status
All Artists, Validators, Listeners, and Advertisers who participate on Validator Ent. do so as independent participants, not as employees, contractors, agents, partners, or joint venturers of Validator Ent. Nothing in these Terms shall be construed to create an employment relationship, agency relationship, or any other legally recognized partnership between Validator Ent. and any participant.
18.2 — No Employment Relationship
Validator Ent. does not direct, control, or supervise how participants engage with the Platform beyond the requirements set forth in these Terms. Participants determine their own schedule, volume of activity, and manner of engagement. The Platform provides the technical infrastructure and economic framework; participants choose if and how to use it.
18.3 — No Benefits or Entitlements
Participants are not entitled to any employment benefits from Validator Ent., including but not limited to workers' compensation, unemployment insurance, health insurance, retirement benefits, paid leave, or any other benefits provided to employees. Validator Ent. does not withhold taxes on Credits or payouts.
18.4 — Tax Responsibility
Each participant is solely responsible for reporting and paying all applicable taxes on Credits received and any amounts withdrawn from the Platform, including self-employment taxes, income taxes, and any other taxes or levies imposed by any taxing authority. Validator Ent. may be required to file informational tax reports (e.g., IRS Form 1099) with respect to participants who receive reportable amounts in a calendar year. Participants must provide accurate tax identification information upon request.
18.5 — No Authority to Bind
No participant has the authority to enter into any contract, make any representation, or incur any liability on behalf of Validator Ent. Participants may not represent themselves as agents, employees, or authorized representatives of Validator Ent. in any context, including in business dealings, public communications, or legal proceedings.
Revenue Distribution Transparency
19.1 — Published Credit Split Schedule
Validator Ent. publishes the current Credit split percentages applicable to all Paid Ad impression events in the Artist Dashboard under My Credits → Credit Distribution. This schedule specifies the exact percentage allocations for: Artist Share, Validator Reward, Platform Reserve, Union Contribution, and Founder Reserve. The published schedule is the governing rate for all Credit calculations performed after its effective date.
19.2 — Notice of Schedule Changes
Any change to Credit split percentages that reduces the Artist Share or Validator Reward shall be communicated to all registered Artists and Validators with a minimum of 30 days' advance written notice via Platform notification and registered email. Participants who disagree with a material rate change may terminate their account before the change takes effect without forfeiture of Credits accrued at the prior rate.
19.3 — Balance Audit Rights
Any Artist or Validator may request a written statement of their Credit balance, accrual history, and the impression events underlying their Credits within 90 days of any Credit event. Audit requests must be submitted to the Platform's support channel. Validator Ent. will respond to audit requests within 14 business days. Audit rights do not apply to periods more than 24 months prior to the request date.
19.4 — Aggregate Revenue Reporting
Validator Ent. will publish aggregate, non-personally-identifiable statistics about Platform revenue performance on at least a quarterly basis. These reports will include total validated Paid Ad impressions, total Credits distributed to Artists and Validators, and Platform Reserve allocation. Individual participant data is never included in aggregate reports.
19.5 — No Fiduciary Duty
The transparency provisions in this Section do not create a fiduciary relationship between Validator Ent. and any participant. Validator Ent. does not act as a trustee, custodian, or fiduciary with respect to participant Credits or any associated funds. The Platform's obligations are contractual in nature and limited to those expressly set forth in these Terms.
Age Restriction / COPPA
Validator Ent. is not directed to children. Users must be at least 13 years of age to register for or use any aspect of the Platform. By creating an account, you represent that you meet this minimum age requirement.
20.1 — Minimum Age Requirement
You must be at least 13 years of age to create an account or use the Validator Ent. Platform. Users between the ages of 13 and 17 ("Minors") may use the Platform subject to the additional conditions in Section 20.3. The Platform collects date of birth at registration to verify compliance with this requirement.
20.2 — COPPA Compliance
Validator Ent. does not knowingly collect personal information from children under the age of 13, in compliance with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501 et seq. If Validator Ent. discovers that it has inadvertently collected personal information from a user under age 13, it will promptly delete that information and terminate the associated account. If you believe a user under 13 has registered on the Platform, please contact us at Validatorent@mail.com.
20.3 — Minor Users (Ages 13–17)
Minor users between the ages of 13 and 17 represent and warrant, by creating an account, that they have obtained the consent of a parent or legal guardian to use the Platform and to agree to these Terms on the Minor's behalf. Parents or guardians of Minor users remain responsible for monitoring the Minor's use of the Platform and for any obligations arising from such use. Validator Ent. recommends that parents review these Terms with their Minor children before allowing use of the Platform.
Collaborative Boost Pools
21.1 — Boost Pool Mechanics
Validator Ent. may offer a Collaborative Boost Pool feature that allows multiple Artists to combine their Platform Credits to collectively boost the rotation priority of participating tracks. When a Boost Pool is active, the Platform's rotation algorithm weights participating tracks proportionally to the Pool's total contribution, increasing their visibility in the Listener Player and Heat Map. Boost Pools operate exclusively within the Platform's ranking system and have no effect on Credit balances or payout eligibility.
21.2 — Pool Formation
A Collaborative Boost Pool requires a minimum of two (2) participating Artists, each of whom must hold an active account in good standing. Pool formation is initiated through the Artist Dashboard under Boost → Collaborative Pool. Each participating Artist must individually agree to the Pool terms and confirm their Credit contribution amount before the Pool becomes active. Pool contributions are denominated in Platform Credits and are deducted from the Artist's available Credit balance at the time of commitment.
21.3 — Pool Distribution
The rotation boost benefit provided by a Collaborative Boost Pool is distributed among participating Artists on a pro-rata basis according to each Artist's proportional Credit contribution to the Pool. An Artist contributing 60% of the Pool's total Credits receives 60% of the boost rotation benefit. Boost benefit calculations are updated in real-time as Pool contributions change or Artists exit.
21.4 — Pool Exit
An Artist may exit a Collaborative Boost Pool by submitting an exit request through the Artist Dashboard. Exit takes effect after a 7-day notice period, during which any pending stream validations queued against the Artist's tracks within the Pool will complete normally. Credits committed to the Pool are non-refundable upon exit; the exiting Artist's contribution remains in the Pool until the notice period expires, after which no further Credits are deducted. The remaining Pool participants may elect to continue the Pool at the adjusted contribution ratio or dissolve the Pool.
DMCA & Content Takedown
22.1 — DMCA Compliance
Validator Ent. respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. The Platform maintains a DMCA Policy under which it will respond to valid notices of copyright infringement and, where appropriate, remove or disable access to allegedly infringing Content.
22.2 — Designated Agent for DMCA Notices
Validator Ent.'s designated agent for receiving notices of claimed copyright infringement under the DMCA is:

22.3 — Notice Requirements
To be valid under the DMCA, a notice of claimed copyright infringement must include all of the following:
- A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf.
- Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are covered by a single notification.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity, with sufficient information to permit Validator Ent. to locate the material (e.g., URL, track ID, or Artist account name).
- Contact information for the complaining party, including name, address, telephone number, and email address.
- A statement that the complaining party has a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in the notification is accurate and that the complaining party is the copyright owner or is authorized to act on the owner's behalf.
22.4 — Counter-Notification
If Content is removed or disabled as a result of a DMCA notice, the affected participant (the "Responding Party") may submit a counter-notification to the Designated Agent. A valid counter-notification must include: (a) the Responding Party's physical or electronic signature; (b) identification of the removed or disabled material and its location before removal; (c) a statement under penalty of perjury that the material was removed or disabled as a result of mistake or misidentification; and (d) the Responding Party's name, address, telephone number, and a statement consenting to jurisdiction. Upon receipt of a valid counter-notification, Validator Ent. may restore the removed material after providing the original complainant with a copy of the counter-notification and a period of not less than 10 business days to seek a court order restraining re-posting.
22.5 — Repeat Infringer Policy
Validator Ent. maintains a repeat infringer policy under which accounts determined to have repeatedly infringed the copyrights of others will have their access to the Platform terminated. "Repeat infringer" means any Artist or other participant who has received two or more valid DMCA takedown notices within any 12-month rolling period, or who has been found by a court of competent jurisdiction to have infringed a copyright. Upon termination for repeat infringement, any accrued Credits that were generated from infringing Content are subject to forfeiture. Validator Ent.'s determination of repeat infringer status is final, subject to the dispute resolution process in Section 12.
Minor Artist Consent & Guardian Oversight
Artists between the ages of 13 and 17 ("Minor Artists") may participate in the Validator Ent. ecosystem subject to the verified consent and ongoing oversight of a parent or legal guardian ("Guardian"). The provisions in this Section supplement all other applicable Terms and govern Minor Artist participation from application through any royalty distribution.
Admin approval is required for all Artist applications regardless of age. Minor Artist applications carry an additional verified-consent requirement that must be satisfied before Artist status may be granted.
23.1 — Verified Parental / Guardian Consent
An Artist applicant who is under 18 years of age at the time of application must provide verified Guardian consent before Artist status is granted. Verified consent is established through the following mechanism:
- During the Artist application flow, the Minor Artist must provide a valid email address for their parent or legal Guardian.
- The Platform sends a consent confirmation email to the Guardian's address. The Guardian must affirmatively confirm consent by clicking the verification link contained in that email within 72 hours of its transmission.
- An application for which Guardian consent has not been confirmed within 72 hours will be placed in a pending-consent state and will not advance to admin review until consent is received. The Platform may resend the consent email up to two times upon applicant request before the application expires.
- Providing a false Guardian email address, confirming consent without actual Guardian authorization, or any other attempt to circumvent this verification process constitutes a material violation of these Terms and will result in immediate account termination.
23.2 — Admin Approval Gate
All Artist applications — including those submitted by Minor Artists — are subject to platform admin review and approval before Artist status is activated. Verified Guardian consent satisfies the consent prerequisite but does not guarantee Artist status. Admin review evaluates eligibility, content appropriateness, and compliance with these Terms independent of the consent confirmation. The Platform's approval decision is final.
23.3 — Guardian Role in Royalty Distributions
While a Minor Artist remains under the age of 18, the Guardian associated with the Minor Artist's account holds exclusive authority over royalty withdrawals. Specifically:
- The Minor Artist may view their Credit balance, accrual history, and Credit Pipeline activity in the Artist Dashboard. This view-only access is unaffected by this Section.
- Withdrawal requests may only be initiated by the verified Guardian through a Guardian-authenticated session. The Minor Artist's account does not have withdrawal permissions until they reach the age of 18.
- The Guardian is responsible for ensuring that all withdrawal instructions comply with applicable laws, including any restrictions on minors receiving royalties or income in the relevant jurisdiction.
- Validator Ent. is not responsible for any dispute between a Minor Artist and their Guardian regarding the management or disposition of royalties received through the Platform.
23.4 — Transition to Full Artist Status at Age 18
Upon the Minor Artist's 18th birthday, Guardian-restricted withdrawal controls are automatically lifted. The now-adult Artist assumes full control of their account, including all withdrawal permissions, and the Guardian's authority over the account ceases. The Platform will send an email notification to both the Artist and the Guardian prior to this transition. The Artist must re-confirm account ownership through the Platform's identity verification step to activate full withdrawal access.
23.5 — Consent Withdrawal & Effect on Artist Status
A Guardian may withdraw consent at any time by submitting a written consent-withdrawal request to Validatorent@mail.com. Upon receipt and verification of a valid consent-withdrawal request:
- The Platform will suspend the Minor Artist's account within 5 business days of verifying the request.
- Artist status is revoked, and the Minor Artist's content will be removed from active rotation pending final account disposition.
- Any Credits accrued prior to consent withdrawal that have not yet been withdrawn will be placed in escrow in accordance with the escrow policies in Section 16. Escrowed amounts will be held until the Minor Artist reaches age 18 and completes the identity verification step described in Section 23.4, at which point they may request release. Alternatively, the Guardian may request release of escrowed Credits on behalf of the Minor Artist at any time by contacting Platform support.
- If consent withdrawal is submitted by a person who does not hold Guardian authority (e.g., a third party), the Platform reserves the right to verify the request before taking any action. False consent-withdrawal claims are treated as a violation of these Terms.
